USER AGREEMENT
BlueKnightStudios.com (“Site”) is owned and operated by Blue Knight Studios (“BKS”) in West Plains, MO. All users of this site (“Users”, “Visitors”, “Client[s]”, “You”, “Your”) hereby agree to be subject to the following terms.

When you access this Site and/or make a purchase through it, you acknowledge and agree that you received notice of these Terms. By continuing to use this Site, you agree to be bound by these Terms, along with the accompanying Privacy Policy. If you disagree with these Terms, or with the Privacy Policy, you must immediately discontinue any and all use and/or access of this Site.

While BKS aims to keep this Site as up-to-date as possible, there is no guarantee that all of the content on this Site is accurate, complete, or up-to-date at any given time. BKS reserves the right to modify or discontinue, in whole or in part, any Product/Service offered on this Site, without notice. BKS is not liable to you or to any third-party for any modification, price change, suspension, or discontinuation of any Product/Service.

FEES
All fees on this Site are listed in USD ($). BKS reserves the right to change its fees at any time for any valid reason, without notice to you. Payments are to be made through Stripe, using a Debit/Credit card.
BKS expects fair compensation for fair work – services rendered for projects require appropriate payment for labor, regardless of whether Clients choose to fully complete said projects. BKS’ working rates may change to accommodate operating costs and cost-of-living increases – regardless, whatever additional costs are required for project completion (including, but not limited to, web design templates and other digital products) will be shared with the Client to ensure transparency. Total fees will vary based on Client product/feature option selections.

REFUND POLICY
All BKS Products/Services are digital and non-returnable by nature – therefore, no refunds will be given for any purchases. If you experience a failure to download on a digital product you purchased, please submit a Support Ticket via the form on the homepage of this Site. Please include your transaction details in the message so that BKS may locate your transaction in its transaction history. A reasonable effort will then be made to provide the product in question directly to you.

USE OF THIRD-PARTY APPLICATIONS
In order to run the Site and provide the Services, BKS uses a number of third-party applications (including Google Site Kit, Stripe, etc.). You understand it is your responsibility to regularly review the terms of use for any third-party applications. If you do not agree with the terms of use for any third-party application used on this Site, please discontinue use of this Site and its related Services immediately.

COMMUNICATIONS, COPYRIGHTS, & INTELLECTUAL PROPERTY
Client agrees and understands that Blue Knight Studios has created numerous original, creative works including all content, resources, charts, email content, graphics, workbooks, copy for Sites and sales pages, materials, images, text, designs, graphics, page layouts, icons, videos, logos, taglines, trademarks (whether common law or registered) and other service marks (“Intellectual Property”, altogether), and agrees that Blue Knight Studios maintains all copyrights, licenses, and other intellectual property rights in all original or derivative content associated with or included on the Site or in any Product/Service, whether created prior to working with Client or specifically for Client. Any and all Intellectual Property that you access as part of any Product/Service through this Site will continue to be wholly owned by Blue Knight Studios.

By submitting a comment, photo, video, or other materials to Blue Knight Studios, or to any other platform owned or maintained by Blue Knight Studios, you grant a non-revocable, commercial license to re-publish your submission, in whole or in part, unless you expressly state that Blue Knight Studios may not do so. You acknowledge that Blue Knight Studios has no duty of privacy or confidentiality to you by purchasing its products/services, and Blue Knight Studios reserves the right to disclose your use of its products/services for Blue Knight Studios’ brand reputation management, marketing, and platform improvement purposes.

In general, Blue Knight Studios makes use of YouTube and email platforms to communicate with its audiences. Content posted on any other platforms under the Blue Knight Studios name is an act of copyright/trademark violation punishable by law – any account on third-party platforms which assumes the name of Blue Knight Studios that is not actually a channel of Blue Knight Studios may be met with legal action. Any communications made through the contact form, blog, membership tools, social media pages, groups or related pages, or directly to Blue Knight Studios via phone, mail, or email is not held privileged or confidential and may be subject to viewing and/or distribution by third-parties. Blue Knight Studios owns all communications displayed on its Site, servers, forums, emails, and other media as permitted under law and will not give credit or pay royalties for unsolicited user-generated content such as comments or emails. For more information on when and how Blue Knight Studios stores and uses your communications or any information provided by you in those communications, please refer to the Privacy Policy.

Blue Knight Studios maintains the right to republish any communication or submission, in whole or in part, as reasonably necessary for its business, especially concerning testimonials, without providing any payment or additional services. By using this Site and/or purchasing its products/services, you understand that you are granting Blue Knight Studios an unlimited, irrevocable license in perpetuity to use, publish, redistribute, or repurpose any information you’ve provided to Blue Knight Studios as part of a Testimonial.

You agree not to submit any content or communications that contain sensitive information or that could be illegal or serve an unlawful purpose – including, but not limited to, communications that are potentially libelous or maliciously false, obscene, abusive, negligent, or otherwise harmful or inappropriate. Blue Knight Studios reserves the right, in its sole discretion, to block your access to the Site and its products/services as a result of any such behavior.

LIMITED LICENSE
Concerning BKS branding, evergreen content, courses, and other long-term Products/Services, Client agrees and understands they may not copy, repost, alter, publish, sell, assist others in selling, manipulate, distribute, or in any way exploit any of the copyrighted content or intellectual property of Blue Knight Studios or obtained through working with Blue Knight Studios, without express written consent. If such behavior is discovered or suspected, BKS reserves the right to immediately end the relationship with Client, as well as deny access to any program or materials Client may have purchased, and BKS reserves the right to prosecute any actionable infringement or misuse to the fullest extent of the law.

Client understands that by accessing or purchasing any Product/Service, they are gaining access to view all content and information available as part of the Product/Service, as well as any additional information or content shared with them by Blue Knight Studios as BKS sees fit. Client understands this means they will have been granted a limited, revocable, non-transferable license to consume and use the information provided, as permitted by Blue Knight Studios. As a “Licensee,” Client understands and agrees that Client will not:

– Copy, edit, distribute, or duplicate any information or any Content obtained through any Product/Service without permission by BKS;

– Post, distribute, copy, or otherwise use any portion of the Product/Service or its content, or information obtained via Members within the Blue Knight Studios community, without permission by BKS, and understands that any such use may constitute infringement, which may give rise to a cause of action against Client.

– Claim any content created by Blue Knight Studios as his/her own – meaning Client cannot claim any content created by Blue Knight Studios as Client’s own work, and may not use such content in his/her business as his/her own unless clearly permitted within the text of the Client’s Freelance Service Agreement (FSA) with BKS or within the content of the Product/Service being offered by BKS.

– Share purchased materials, information, and/or content with others who have not purchased them for themselves.

Client further acknowledges and understands that any such actions – including, but not limited to, those outlined above – will likely constitute infringement and/or theft of BKS’s work, and a violation of this Agreement, the Client’s FSA (if applicable), and U.S. law.

NON-DISCLOSURE
Client understands that by participating in BKS’s Services, they are receiving the benefit of exclusive guidance, instruction, resources, and intellectual property that has been developed by Blue Knight Studios. By purchasing any Product/Service, Client will have gained access to various trade secrets and intellectual property of Blue Knight Studios – including, but not limited to, materials such as the BKS brand kit, market research documents, content marketing templates, training modules, technical information, copywriting templates, and/or other information that is made available to Client. Therefore, Client understands and acknowledges that this information is not to be shared or disseminated without express permission from BKS.

SECURITY
BlueKnightStudios.com is built on WordPress and hosted by Hostinger – it is secured on the front-end by the Wordfence plugin (one of the most powerful and prominent security plugins available for the platform) and on the back-end by Hostinger’s built-in database security protocols and web application firewall. It is highly unlikely your data will be compromised using this Site – that said, never forget to be cautious when it comes to the human factor. If at any time you are required to create a username and password to access any Service, it is your responsibility to protect your username and password from theft or any other means of unauthorized use that would violate these Terms. If you become aware that your password has been compromised or your account has been breached, it is your responsibility to notify BKS immediately by submitting a Support Ticket via the form on the homepage of this Site.

ASSUMPTION OF RISK
Use of this Site and its Services is at your own risk. While BKS hosts this Site on a reputable platform with excellent security, BKS makes no representations, warranties, or guarantees as to your individual safety when using the Site. You further assume all risk associated with your access to and use of any information or materials provided to you on this Site, its Services, or any other pages, platforms, or profiles maintained by BKS – as well as any subsequent actions you choose to take (or not take) as a result of the information, influence, or educational materials provided or made available to you through Blue Knight Studios.

NO GUARANTEES
While BKS may refer to certain results, outcomes, or situations on this Site and/or in any of its Products/Services, you understand and acknowledge that BKS makes no guarantee as to the accuracy of any third-party statements or the likelihood of success for you as a result of any statements or testimonials contained on this Site or as part of its Products/Services.

GENERAL DISCLAIMER
To the fullest extent permitted by law, BKS expressly excludes any liability for any direct, indirect, or consequential loss or damage incurred by you (or others) in connection with the use of this Site and/or any Product/Service, including without limitation any liability for any accidents, delays, injuries, harm, loss, damage, death, lost profits, personal or business interruptions, misapplication of information, physical, mental, emotional, or spiritual injury or harm, loss of income or revenue, loss of business, loss of contracts, loss of anticipated savings, loss of data, loss of goodwill, and for any other loss or damage of any kind, whether caused by negligence, breach of contract, or otherwise.

WARRANTIES DISCLAIMER
BKS makes no warranties as to the Site, its Products/Services, or any related materials. You agree that the Site and Products/Services are provided “as-is” and without warranty of any kind either express or implied. To the fullest extent permissible by applicable law, BKS expressly disclaims all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

EARNINGS DISCLAIMER
You agree that you understand individual outcomes will vary. Case studies or testimonials are not indicative of guaranteed results. Each individual user approaches Blue Knight Studios and its Products/Services with different backgrounds, disposable income levels, motivation, and other factors that are outside of BKS’s control. BKS cannot guarantee your success or financial gain merely upon access of the Site or your purchase or participation in any of its Products/Services.

THIRD-PARTY DISCLAIMER
You acknowledge and agree that BKS is not liable for any defamatory, offensive, or illegal conduct of any other third-party participant or user, including you.

TECHNOLOGY DISCLAIMER
BKS makes reasonable efforts to use modern and reliable servers, software, and platforms from which to access the Site and its Products/Services. In the event of a technological failure, you accept and acknowledge that BKS is not in any way responsible or liable for said failure and any resulting damages to you or your business. While BKS will make reasonable efforts to support you, some technological issues are outside its control, and you may need to access support from a third-party provider. BKS does not warrant that the Site will be functional, uninterrupted, correct, complete, appropriate, or error-free, or that defects will be corrected, or that any part of the Site or Products/Services are free of viruses or other harmful components. BKS does not warrant or make any representations regarding the use or the results of the use of the Site, Products/Services, related materials, or third-party Sites in terms of their correctness, accuracy, timeliness, reliability, or otherwise.

MEMBER CONDUCT
While Members are allowed to freely express their opinions regarding any of the Products/Services, as well as of Blue Knight Studios itself, should a Member make any false or disparaging comments (as determined by third-party assessment) within any BKS-owned and operated community (including, but not limited to, the Blue Knight Studios channel on YouTube) or to other community members, or otherwise publicly speak negatively about Blue Knight Studios or about any of BKS’s other Members without justifiable and clearly stated reasons, BKS reserves the right to remove said Member from every BKS community. BKS strives to create a safe, positive, and productive environment for Members and followers alike. Therefore, to preserve community standards and experiences for all Members, any Member who cannot abide by these Terms may lose their access to all Blue Knight Studios community forums, networks, and groups. You hereby understand that any unwarranted or excessive negativity or disruption to the Blue Knight Studios community on your part may result in your Membership privileges being revoked.

LIMITATION OF LIABILITY
BKS does not assume liability for any third-party conduct, accidents, delays, harm, or other detrimental or negative outcomes as a result of your access of the Site or its Products/Services.

RELEASE, INDEMNITY, WAIVER, & VIOLATIONS
The Site, Products/Services, and related materials are provided for educational, marketing, networking, business, and informational use only. You agree to indemnify, release, and save harmless Blue Knight Studios and its personnel (collectively, “Released Parties”) for any direct or indirect loss or consequences incurred as a result of your use of the Site, its Products/Services, or any related communications, including as a result of any consequences incurred from technological failures such as a payment processor error or technological malfunction. You further waive any right you may have against the Released Parties and any legal recourse for any damages, costs, losses or expenses you may incur as a result of your use of the Site and/or its Products/Services. You acknowledge this release of liability is binding on your heirs, executors, and anyone else who may be able to bring legal action on your behalf in the future.

BKS takes violations and infringement of its Intellectual Property rights very seriously. BKS expressly reserves the right to take whatever legal steps necessary to protect and defend its intellectual property – violators will be prosecuted to the fullest extent permissible by law. You agree to indemnify, defend, and hold BKS harmless for any and all damages, costs and expenses, including legal fees, arising from your misuse of BKS’s intellectual property and the enforcement of BKS’s rights.

TERMINATION
If at any time BKS believes that you have violated these Terms, BKS shall immediately terminate your use of the Site, including your access to all Products/Services and any related communications as deemed appropriate in BKS’s sole discretion. BKS may block or revoke your access to the Site and its Products/Services at any time without notice, and if necessary, permanently block your IP address from further visits to the Site.

GOVERNING LAW & JURISDICTION
These Terms, as well as the Privacy Policy, are governed by, and interpreted in accordance with, the laws of the State of Missouri and the federal laws of the United States. Any disputes arising directly or indirectly from this Agreement will be submitted and heard exclusively in the West Plains Circuit Court located in Howell County, MO.

SEVERABILITY
If any of the provisions of these Terms are found to be invalid, illegal or unenforceable, the validity, legality, and enforceability of the remaining provisions will not, to the extent permitted by law, in any way be affected and will remain enforceable.

Blue Knight Studios reserves the right to update and change these Terms at any time and it is your responsibility to review these Terms periodically. You can review the most current version of these Terms at any time by visiting this page. Your continued use of, or access to, the Site and/or its Products/Services affirms your acceptance of any changes to these Terms. All rights not expressly set out and granted in these Terms and/or in the Privacy Policy are expressly reserved by BKS.
